End User License Agreement

1Definitions

• "Software" means Cinch Audio Recorder Ultimate, including all updates and documentation
• "License Key" is the unique code to activate the full version
• "Device" means a single computer where the Software is installed
• "Trial Version" is the limited free version (9 recordings)
• "Full Version" is the complete version activated with a License Key

2Grant of License

Trial Version

• Limited, non-exclusive, non-transferable license
• Install on one Device
• Evaluate for up to 9 recordings

Full Version

• Perpetual license for one Device per License Key
• Free updates for current major version (v1.x)
• One backup copy permitted for archival purposes

3License Restrictions

You may NOT:

• Distribute, sell, rent, or sublicense the Software
• Reverse engineer or decompile the Software
• Remove copyright or proprietary notices
• Share your License Key with others
• Use on multiple Devices with one License Key
• Use for illegal purposes
• Circumvent license validation systems
• Record copyrighted content without authorization

4Intellectual Property

• The Software is licensed, not sold
• Cinch Solutions retains all ownership rights
• You retain ownership of your recordings and content
• "Cinch" and related logos are trademarks of Cinch Solutions

5Activation & Validation

• Internet connection required for activation
• License tied to Device hardware identifier
• Periodic validation occurs (configurable)
• 72-hour offline grace period (default)
• Hardware changes may require reactivation

6Data Collection

What We Collect

• License Key, email, Machine ID, OS info
• Anonymous usage statistics and error reports

What We DON'T Collect

• Your audio recordings
• Personal files or documents
• Browsing history

7Third-Party Components

• ACRCloud – Music recognition service
• MusicBrainz – Music metadata database
• FFmpeg – LGPL v2.1+
• NAudio – MIT License

8Updates

• Minor updates (v1.x) provided free
• Major upgrades (v2.0+) may require separate purchase
• Automatic updates can be disabled in Settings

9Technical Support

• Email support via Support Page
• Response time: typically 24-48 hours (GMT+8 business hours)
• Best-effort basis, no guaranteed response times

10Warranty Disclaimer

• No warranty of merchantability or fitness for purpose
• No guarantee of uninterrupted or error-free operation
• No guarantee of recognition accuracy
• Use at your own risk

11Limitation of Liability

Cinch Solutions is NOT liable for:

• Loss of data or recordings
• Lost profits or business opportunities
• Indirect, incidental, or consequential damages
• Damages exceeding the license fee paid

Maximum liability is limited to the amount you paid for the license.

12Termination

You may terminate by uninstalling and destroying all copies.

We may terminate for:

• Breach of this EULA
• Use of pirated or unauthorized License Keys
• Fraudulent activity
• Sharing or reselling your License Key

Upon termination, you must cease all use immediately. No refund for termination due to breach.

13Additional Terms

Governing Law

This EULA is governed by the laws of your jurisdiction.

Export Compliance

You agree to comply with applicable export control laws.

Amendments

We may modify this EULA at any time. Changes are effective upon posting. Continued use constitutes acceptance.

Entire Agreement

This EULA constitutes the entire agreement between you and Cinch Solutions.
